Please read these Terms of Service carefully before engaging our services. By accessing our website, signing a proposal, or engaging Prezente Digital Advertising Inc. for any service, you agree to be bound by these terms. If you do not agree, please do not use our services.
Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Prezente Digital Advertising Inc. ("PreZente Digital," "we," "us," or "our"), a corporation registered in the Republic of the Philippines.
By accessing our website at prezentedigital.com, requesting a proposal, signing a service agreement, or otherwise engaging our digital marketing services, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any additional agreements, proposals, or statements of work ("SOW") entered into between the parties.
These Terms apply to all visitors, clients, and others who access or use our services.
Services Offered
Prezente Digital Advertising Inc. provides digital marketing and related services including but not limited to:
- Search Engine Optimization (SEO), Generative Engine Optimization (GEO), and AI Search Visibility
- Google Ads management, Pay-Per-Click (PPC) campaign management, and Performance Marketing
- Social Media Advertising (Facebook, Instagram, LinkedIn, and other platforms)
- Social Media Management and content creation
- Website design and development (WordPress, Shopify, and related platforms)
- Branding, graphic design, and visual identity services
- Video content production and creative services
- Online advertising strategy and campaign execution
- LinkedIn advertising and B2B lead generation
- Digital marketing training and consultancy
The specific services, deliverables, timelines, and fees applicable to your engagement will be outlined in a separate proposal or Statement of Work, which upon acceptance forms part of the agreement between you and PreZente Digital.
Client Responsibilities
To enable PreZente Digital to deliver services effectively, you agree to:
- Provide timely access to all accounts, assets, platforms, and information reasonably required to perform the agreed services (including Google Ads accounts, Meta Business Manager, website credentials, and analytics platforms)
- Designate a primary point of contact with sufficient authority to give approvals and make decisions on your behalf
- Review and provide feedback on deliverables within agreed timelines. Delays caused by late client feedback may affect delivery schedules
- Ensure that all information, materials, and content provided to us is accurate, lawful, and does not infringe on any third-party rights
- Pay all invoices by the due dates specified in your proposal or service agreement
- Maintain adequate advertising budgets where applicable — PreZente Digital management fees are separate from ad spend paid directly to platforms
- Comply with all applicable laws and regulations in your jurisdiction and industry, including those governing advertising and marketing communications
PreZente Digital reserves the right to pause or suspend services where client delays, non-payment, or failure to provide required access materially impairs our ability to deliver.
Fees & Payment
All fees, payment schedules, and billing arrangements are as specified in your proposal or service agreement. Unless otherwise agreed in writing:
- Management fees are invoiced monthly in advance at the beginning of each billing period
- One-time project fees (e.g., web development, branding) may require a deposit of 50% upon engagement, with the balance due upon completion or as otherwise agreed
- Advertising spend (Google, Meta, LinkedIn, and other platforms) is paid directly by the client to the relevant platform and is not included in management fees unless otherwise stated
- Invoices are due within 14 calendar days of the invoice date unless otherwise agreed in writing
- Overdue payments may attract a late payment fee of 2% per month on the outstanding balance
- All fees are stated in Philippine Peso (PHP) or US Dollar (USD) as specified in the proposal. International clients are responsible for any bank transfer fees or currency conversion costs
No Refund Policy on Rendered Services: Fees for services already rendered are non-refundable. Where a project is cancelled after commencement, fees will be charged for all work completed up to the point of cancellation, calculated on a pro-rata or time-spent basis as applicable.
Intellectual Property
Client Materials: You retain all rights to materials, content, trademarks, logos, and other intellectual property that you provide to PreZente Digital. By providing such materials, you grant us a non-exclusive license to use them solely for the purpose of delivering the agreed services.
Deliverables: Upon receipt of full payment, ownership of custom deliverables produced specifically for your engagement (such as ad creatives, website designs, and written content) will transfer to you. PreZente Digital retains the right to display such work in our portfolio unless you expressly request otherwise in writing.
Pre-existing IP & Tools: PreZente Digital retains all rights to our proprietary methodologies, templates, frameworks, tools, and processes. These are licensed to you for use within your engagement only and do not transfer to you upon project completion.
Third-Party Assets: Where deliverables incorporate licensed third-party assets (stock images, fonts, plugins, etc.), you are responsible for ensuring appropriate licenses are in place for your continued use beyond the engagement.
Confidentiality
Both parties agree to keep confidential any proprietary, sensitive, or non-public information shared during the course of the engagement ("Confidential Information"). This includes but is not limited to business plans, campaign strategies, financial data, client lists, pricing, and proprietary processes.
Neither party shall disclose Confidential Information to any third party without prior written consent, except where required by law or regulation. This obligation survives termination of the engagement for a period of two (2) years.
PreZente Digital may reference your business name and general nature of services (e.g., "digital marketing services") for business development and portfolio purposes unless you notify us otherwise in writing.
Limitation of Liability
No Guarantee of Results: Digital marketing involves inherent uncertainty. PreZente Digital does not guarantee specific rankings, traffic volumes, conversion rates, revenue outcomes, or return on advertising spend. We commit to applying best practices, certified expertise, and diligent effort on your behalf.
Limitation: To the fullest extent permitted by applicable law, PreZente Digital's total liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you to PreZente Digital in the three (3) months immediately preceding the claim.
Exclusions: PreZente Digital shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, loss of data, loss of business opportunity, or reputational harm, even if advised of the possibility of such damages.
Platform Changes: We are not liable for losses arising from algorithm changes, platform policy updates, account suspensions by third-party platforms (Google, Meta, etc.), or any other events outside our reasonable control.
Termination
By Either Party: Either party may terminate the engagement by providing written notice as specified in the relevant proposal or service agreement. Where no notice period is specified, a minimum of thirty (30) calendar days' written notice is required.
Immediate Termination: PreZente Digital reserves the right to terminate services immediately and without notice if:
- Payment is overdue by more than 30 days and remains unpaid after written notice
- The Client engages in conduct that is unlawful, abusive, or harmful to PreZente Digital or its team members
- The Client requests services that violate applicable laws, platform policies, or ethical standards
Upon Termination: All outstanding fees for services rendered up to the termination date become immediately payable. PreZente Digital will provide reasonable assistance in transitioning accounts and assets to you or your nominated new provider.
Third-Party Platforms & Services
Our services often involve working within third-party platforms (Google, Meta, LinkedIn, WordPress, Shopify, and others). Your use of these platforms is subject to their own terms of service and policies, which are separate from this agreement.
PreZente Digital is not responsible for changes to third-party platform features, pricing, policies, or availability. We will work diligently to adapt strategies when platforms make changes that affect your campaigns, but such adaptations may require additional time and effort beyond the original scope.
Where we manage third-party platform accounts on your behalf, all accounts, assets, and data remain the property of the Client. PreZente Digital will not withhold access to your accounts upon termination of the engagement.
Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within thirty (30) days of written notice of the dispute, either party may pursue resolution through the appropriate courts or arbitration bodies in Metro Manila, Philippines.
For international clients, you agree that any dispute shall be subject to Philippine jurisdiction, and you waive any objection to such jurisdiction or venue.
Changes to These Terms
PreZente Digital reserves the right to update or modify these Terms at any time. We will notify existing clients of material changes via email to the address on record. Changes take effect thirty (30) days after notification, or upon your continued use of our services after that period, whichever is earlier.
